Terms of Service

These terms set the practical and commercial rules for using GuardianAI. They should be read with the Privacy Notice and any accepted written quote or site-specific agreement.

The service provider

GuardianAI is a brand and service operated and supplied by Shadowsecure Technology (Pty) Ltd, registration number 2022/846807/07, South Africa. In these terms, “GuardianAI”, “we”, “us” and “our” refer to that company. “You” means the account holder or organisation using or applying to use the service.

1. Acceptance and authority

By creating an account, submitting or resubmitting a partner application, requesting a site, or using GuardianAI, you agree to these terms and the Privacy Notice. If you act for a company or another person, you confirm that you are authorised to bind them and provide the submitted information.

A partner application is subject to company verification and does not guarantee approval. We may request more information or decline an application where we cannot verify the business, intended use or fit with the service.

2. What GuardianAI provides

GuardianAI receives individual event still images from compatible CCTV equipment, analyses them for people, and sends a marked photo alert to the site's nominated private Telegram group when a person is detected. Optional Guardian Connect services can provide supported live-access features where separately selected and compatible.

GuardianAI is a detection and alerting aid. It is not a control room, armed-response service, guard service, emergency service, insurance product or continuous CCTV recording archive. It does not decide whether a detected person is dangerous. An authorised person must assess each alert and decide what response, if any, is appropriate.

3. Compatibility and GuardianAI commissioning

The service depends on compatible cameras or recorders, usable event images, suitable configuration, connectivity and access to the site equipment. GuardianAI performs the installation and commissioning. You or the relevant site contact must provide accurate equipment details, lawful access, working equipment, network availability and reasonable cooperation at the agreed time.

A site is successfully commissioned when GuardianAI has configured and tested the agreed event-image and alert flow for the compatible cameras. The once-off R499 site setup fee is charged only after successful GuardianAI commissioning. If we cannot successfully commission the site, that setup fee is not charged. Equipment, delivery, repairs or other separately approved work are not included in the setup fee.

You may not bypass the commissioning process or send continuous, uncontrolled or excessive image traffic. GuardianAI can adjust, pause or reject an image feed that is unsafe, incompatible or materially exceeds the agreed event configuration.

4. Standard pricing

Unless an existing written quote or agreement states otherwise, current standard pricing is:

  • approved partners: R25 per commissioned camera per month;
  • direct customers: R40 per commissioned camera per month;
  • site setup: R499 once-off, charged only after successful commissioning;
  • Guardian Connect: an optional R199 per site per month; and
  • Guardian Connect Pod hardware: from R999, plus delivery, where required.

Prices are in South African rand. GuardianAI is not currently VAT registered, so VAT is not charged. Hardware price depends on the selected equipment and is confirmed before supply. Partner pricing applies only after partner approval. A tailored, legacy or separately accepted written commercial agreement takes priority over the standard price for the service it covers.

5. Billing, payment and cancellation

Invoices, due dates and available payment methods are shown in the portal or sent to the billing contact. You must keep billing details current and pay amounts due for commissioned sites and selected services. Overdue amounts can result in reminders and suspension of the affected service until the account is brought up to date.

Standard recurring GuardianAI service does not require a long-term fixed contract unless a separate written agreement says otherwise. You can request cancellation through support@guardianai.co.za. Cancellation does not remove amounts already due or obligations under a separate agreement. Nothing in these terms limits a cancellation, cooling-off, refund or other right that cannot lawfully be excluded.

We may change standard pricing for future billing periods by giving reasonable notice to the account contact or through the portal. You may cancel the affected standard recurring service before the new price takes effect.

6. Partner responsibilities

A GuardianAI partner is a customer on an approved partner pricing tier. Sites requested through the partner account belong to and are billed to that partner account. The partner remains responsible for its own customer relationship, monitoring or response service, pricing, staff and representations to its customers.

Partners must describe GuardianAI accurately, use it only for legitimate security services, have authority from each site owner, comply with applicable CCTV, privacy, labour and security-industry requirements, and nominate only authorised alert recipients. Partners may not promise guaranteed detection, guaranteed prevention of loss, armed response by GuardianAI or functionality outside the confirmed service.

7. Accounts and acceptable use

Account information must be accurate and kept current. Keep login and Telegram access private, use the correct role for each team member, and tell us promptly if credentials or an alert group may have been compromised. You are responsible for activity performed by authorised users on your account.

Do not use GuardianAI unlawfully; interfere with the platform or another customer; submit malicious content; probe, overload or bypass security controls; reverse engineer protected service components except where the law expressly permits it; or use event images for a purpose unrelated to the authorised security service. We may limit or suspend access needed to contain misuse, a security risk or material service disruption.

8. Detection, alerts and third-party services

Detection results depend on camera placement, image quality, lighting, obstruction, event configuration, connectivity and other conditions. No AI detector identifies every person or eliminates every false alert. Network, electricity, CCTV equipment, hosting or Telegram failures can delay or prevent processing and delivery.

Telegram, Payfast and other third-party services are governed by their own terms and can change or interrupt their services independently of GuardianAI. You are responsible for keeping an appropriate security and response plan rather than relying on a single alerting channel as a guarantee against crime or loss.

9. Privacy and event images

Our Privacy Notice explains how account information, site records, event images, alerts, analytics and support information are handled. You and any partner or site owner must have lawful authority to operate the cameras, send event images to GuardianAI and choose who receives alerts.

10. Intellectual property

GuardianAI and its software, detection systems, portal, branding and documentation are owned by or licensed to Shadowsecure Technology (Pty) Ltd. These terms give you a limited, non-transferable right to use the service for your approved sites while the relevant service is active. You retain your rights in information and images lawfully supplied to the service and give us permission to process them only as needed to provide, secure and support GuardianAI and meet legal obligations.

11. Availability, support and service changes

We use reasonable efforts to operate and support GuardianAI, but do not promise uninterrupted availability, a particular detection rate or that every camera will remain compatible. We may maintain, repair or update the service, retire unsafe or unsupported functionality, and make changes needed for security, law or third-party compatibility. Where a material planned change affects an active paid service, we will provide reasonable notice where practicable.

12. Responsibility and legal rights

GuardianAI supports security decision-making but cannot guarantee prevention of crime, injury, damage or loss. You remain responsible for site security, equipment, alert assessment, response arrangements, insurance and lawful CCTV use.

To the extent permitted by law, neither party is responsible to the other for indirect or consequential loss that was not reasonably foreseeable when the service was accepted. This does not exclude liability that cannot lawfully be excluded, and it does not reduce any mandatory rights available under the Consumer Protection Act or other applicable law.

13. Ending or suspending access

We may suspend or end an account or site for material non-payment, unlawful or abusive use, a serious security risk, loss of required authority, or a material breach that is not corrected after notice where correction is possible. Immediate action may be necessary to contain an active security, legal or operational risk. Ending access does not erase payment duties already incurred or records that must lawfully be retained.

14. General terms and contact

South African law applies to these terms. If part of these terms is unenforceable, the rest continues to apply. A delay in enforcing a term is not a waiver. A written quote or agreement accepted for a specific service takes priority where it directly conflicts with these standard terms.

We may update these terms as the service or law changes. The effective date and version at the top identify the current terms. Material changes will be communicated through the website, portal or account contact where appropriate. Changes do not remove rights already accrued under applicable law.
